Throughout his career, Woods has represented real estate developers, private equity real estate funds, and other institutional investors in the acquisition and disposition of all commercial real estate asset classes including office, retail, hotel, industrial, assisted living, multi-family and mixed-use projects. Woods is also known for his comprehensive experience in entity formation and structuring of joint ventures, partnerships, corporations, limited liability companies and trusts. In addition, Woods has successfully structured tax-free exchanges and payment in lieu of tax incentive transactions.
Woods has also built a land conservation practice that has a national reputation for excellence. Woods has represented landowners and worked with conservation organizations such as Land Trust of Tennessee, Ducks Unlimited, The Nature Conservancy, Wetlands America Trust, and Wolf River Conservancy in many conservation easement transactions.
Woods also provides counsel for developers, owners, investors, banks and lending institutions with respect to all aspects of financing and refinancing a wide spectrum of real estate assets, including transactions involving multiple properties in multiple states. Woods has substantial experience in representing borrowers in bridge financing, construction financing, permanent financing and refinancing, leasehold financing and mezzanine financing. Woods’s expertise also includes the assignment and assumption of various forms of financing, including securitized mortgage loans, in connection with dispositions and acquisitions of real estate assets.
